Terms of Service

1. Acceptance of Terms

By accessing or using Preppath (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization. If you do not agree to these Terms, do not use the Service.

These Terms form a binding legal agreement between you and Curious Bear Solutions Limited ("we," "us," or "Company").

2. Description of the Service

Preppath is a cloud-based exam management platform that allows organizations and educators to create, distribute, and analyze examinations. Core features include hierarchical learning content management (categories, subjects, lessons, and questions); timed exam delivery with section locks, module progression, and resume capability; progress tracking and analytics dashboards; AI-assisted question generation powered by third-party artificial intelligence services; and multi-organization tenancy with role-based access control (Admins and Members).

3. Accounts and Organizations

To use Preppath, you must create an account through our authentication provider, Clerk. You agree to provide accurate, current, and complete information, and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Preppath operates on a multi-tenant model. An organization is a workspace created within the platform. The person who creates an organization ("Admin") is responsible for managing membership, roles, and subscription billing for that organization. Admins may invite others as Members or additional Admins, subject to the limits of the active subscription plan.

Within an organization, users are assigned one of two roles: Admin (full access to create and manage content, exams, and organizational settings, including viewing all exam results within their organization) or Member (can take assigned exams, view their own results, and access learning materials). Admins cannot view or modify Member responses beyond what is necessary for administrative reporting.

4. Subscriptions and Billing

Preppath offers tiered subscription plans (Starter, Pro, Studio, and Scale). Plan details, pricing, and feature entitlements are described on our pricing page and are subject to change with reasonable notice. The Starter plan is free. Paid plans are billed on a monthly or annual basis.

Billing and payment processing for paid plans are handled by Clerk in partnership with Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service and Clerk's billing terms, in addition to these Terms. We do not store your full payment card details on our servers.

Each plan includes limits on the number of Admin users, Member users, and AI-generated questions per month. If your organization exceeds these limits, you may be prompted to upgrade your plan. We reserve the right to restrict access to features that exceed your plan entitlements.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial periods, except where required by applicable law. Upon cancellation, your organization will be downgraded to the Starter plan (if available) or access may be suspended.

Prices do not include applicable taxes. You are responsible for all taxes, duties, or levies imposed by any governmental authority in connection with your use of the Service.

5. Acceptable Use

You agree to use Preppath only for lawful purposes and in accordance with these Terms. You must not upload, submit, or distribute content that is unlawful, defamatory, obscene, or that infringes the intellectual property rights of any third party; use the Service to harass, abuse, or harm any person; attempt to gain unauthorized access to any part of the Service or to other users' accounts or data; reverse engineer, decompile, or disassemble any portion of the Service; use automated tools (bots, scrapers, crawlers) to access the Service in ways that exceed normal use; use the AI question generation feature to generate content that is discriminatory, harmful, misleading, or otherwise violates Anthropic's usage policies; resell, sublicense, or otherwise commercially exploit the Service without our written consent; or attempt to circumvent subscription limits or access features not included in your plan.

We reserve the right to suspend or terminate accounts that violate these rules without notice or refund.

6. AI-Powered Features

Preppath's AI question generation feature is powered by Claude, an artificial intelligence model provided by Anthropic, PBC ("Anthropic"). When you use this feature, the content you submit (such as topic descriptions or source material) is transmitted to Anthropic's API for processing.

Because Preppath accesses Claude through the Anthropic commercial API, the following data handling terms apply: your content submitted to the API is not used by Anthropic to train AI models; API inputs and outputs are retained by Anthropic for a maximum of 7 days (their current default), after which they are deleted; and Anthropic does not share your content with third parties except as required by law. These data handling terms are governed by Anthropic's Commercial Terms. We encourage you to review Anthropic's current privacy documentation at anthropic.com/legal/privacy.

AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and approving any AI-generated questions before publishing them to exam takers. The AI feature is a drafting aid, not a substitute for expert review.

You retain ownership of all content you submit to the AI feature. By submitting content, you represent that you have the right to do so and that the content does not infringe any third-party rights. Do not submit personal information about identifiable individuals, sensitive personal data, confidential business information, or any content you do not have the legal right to disclose to a third-party AI service.

7. Content and Intellectual Property

You retain all ownership rights to content you create, upload, or submit to Preppath, including questions, exams, learning materials, and results data ("Your Content"). You grant us a limited, non-exclusive, worldwide license to store, display, and process Your Content solely for the purpose of providing the Service to you.

Preppath, including its design, software, features, and underlying technology, is the intellectual property of Curious Bear Solutions Limited. Nothing in these Terms grants you any rights to our trademarks, logos, or proprietary technology beyond what is strictly necessary to use the Service as intended.

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service.

8. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Preppath processes personal data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA), the applicable federal privacy law in Canada.

9. Data Security

We implement industry-standard security measures to protect your data, including encryption of data in transit (TLS) and at rest, Row Level Security (RLS) policies at the database layer to enforce tenant isolation, authentication managed by Clerk with JWT-based session tokens, and organization-level data isolation — no organization can access another organization's data.

However, no system is completely secure. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures. You use the Service at your own risk and agree to promptly notify us if you become aware of any security breach involving your account.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CURIOUS BEAR SOLUTIONS LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Curious Bear Solutions Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

13. Third-Party Services

The Service integrates with third-party service providers including Clerk (clerk.com) for user authentication and identity management; Stripe, Inc. (stripe.com) for payment processing; Supabase, Inc. (supabase.com) for cloud database and file storage; and Anthropic, PBC (anthropic.com) for AI-powered question generation. We are not responsible for the practices of these third parties. Your use of their services is subject to their respective terms.

14. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your access immediately, without prior notice, if we reasonably believe you have violated these Terms, if required by law, or for any other reason with reasonable notice.

Upon termination, your right to access the Service ceases. We will delete or anonymize Your Content within a reasonable period following termination, subject to retention requirements described in our Privacy Policy and applicable law.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If resolution cannot be reached within 30 days, either party may pursue resolution through the courts of competent jurisdiction in Ontario, Canada.

17. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future. You may not assign your rights or obligations under these Terms without our prior written consent. These Terms are written in English; in the event of conflict between an English version and a translated version, the English version shall prevail.
